1 Introduction

These User Terms govern your access to and use of the Etain Platform (the “Service”).

The Service is provided by Etain AS, a Norwegian limited liability company with registration number 920 998 704, having its registered address at Drammensveien 123, 0277 Oslo, Norway (“Etain”).

By accessing or using the Service, you confirm that you have read, understood, and accepted these User Terms. If you do not accept these User Terms, you must not access or use the Service.

Each workspace within the Service is owned and controlled by a “Workspace Owner”, which is the physical or legal person that owns and administers a workspace.

You may access the Service in one or more of the following ways:

• As a User invited to one or more workspaces by a Workspace Owner; and/or

• By creating and owning one or more workspaces yourself, in which case you are both a Workspace Owner and a User for those workspaces.

A User may have access to multiple workspaces, each of which may have a different Workspace Owner. Your rights, permissions, and obligations may therefore differ between workspaces.

If you act as a Workspace Owner, Etain’s Customer Terms apply to you in addition to these User Terms.

2 Etain’s Role

Etain provides the Service as a technology platform only.

The Service enables Workspace Owners and Users to store, structure, connect, and interact with data, files, and content, including through the use of artificial intelligence and automation features.

Etain is not a party to any agreement or relationship between a User and a Workspace Owner, except where the User has signed up for the Service directly and is therefore also a Workspace Owner. Any rights, obligations, or liabilities arising out of your relationship with the Workspace Owner are not governed by these User Terms.

Etain has no responsibility for the Workspace Owner’s business, decisions, instructions, or use of the Service, including how the Workspace Owner configures workspaces, manages access, or relies on outputs generated by the Service.

3 Access and Use of the Service

3.1 Authorization

You may only access the Service if:

• You have been authorized by a Workspace Owner (or if you are the Workspace Owner yourself); and

• Your use is within the scope of the access granted to you by the Workspace Owner, and these User Terms.

Your access rights are personal and may not be shared with others.

3.2 Acceptable Use

You agree to use the Service in a lawful, responsible, and professional manner. You shall not:

• use the Service in violation of applicable laws or regulations;

• upload, share, or process content that infringes intellectual property rights, confidentiality obligations, or privacy rights;

• attempt to gain unauthorized access to the Service, accounts, data, or systems;

• interfere with, disrupt, or circumvent security, access controls, or technical safeguards;

• reverse engineer, decompile, or attempt to extract source code or underlying models, except to the extent permitted by mandatory law; or

• use the Service to develop or support competing products or services.

Etain may suspend or terminate your access if you breach these User Terms or if the Customer instructs Etain to do so.

4 Accounts and Credentials

You are responsible for safeguarding your login credentials and for all activity carried out through your account.

You must promptly notify the Workspace Owner of all workspaces you have access to if you suspect unauthorized access, misuse, or security incidents relating to your account.

Etain shall not be liable for losses arising from compromised credentials or misuse caused by your failure to comply with this clause.

5 Data and Content

5.1 Workspace Owner Data

All data, files, documents, and other content you access, upload, or generate through the Service (“Workspace Owner Data”) belong to the Workspace Owner, and not Etain. If you, or anyone else, have agreements with a Workspace Owner about ownership of the Workspace Owner Data, these User Terms will not alter that.

Your rights to the Workspace Owner Data are determined solely by the Workspace Owner and applicable agreements between you and the Workspace Owner, some of which may be implicitly implemented through the configuration of each workspace.

5.2 Etain as Processor

To the extent Workspace Owner Data contains personal data, Etain processes such data on behalf of the Workspace Owner and in accordance with applicable data protection laws and the data processing agreement between Etain and the Workspace Owner.

If you have requests regarding access to, correction, or deletion of personal data, you must direct such requests to the Workspace Owner.

6 Artificial Intelligence and Outputs

The Service uses artificial intelligence and machine learning technologies to analyze data, generate context, and produce outputs.

You acknowledge and agree that:

• outputs generated by the Service are probabilistic and may be inaccurate, incomplete, or misleading;

• outputs are provided for informational and assistive purposes only;

• outputs must be reviewed and validated by humans before being relied upon;

• the Service does not provide legal, financial, regulatory, or professional advice;

• You remain solely responsible for how you use and rely on outputs generated by the Service; and

• Etain shall have no liability for decisions, actions, or omissions based on such outputs.

7 Intellectual Property

The Service, including its software, interfaces, models, designs, and underlying technology, is owned by Etain or its licensors and is protected by intellectual property laws.

No rights are granted to you except the limited right to use the Service as permitted by these User Terms and the Workspace Owner’s authorization.

8 Availability and Changes

The Service is provided to you as a User on an “as is” and “as available” basis.

Etain may update, modify, or discontinue features of the Service from time to time. Etain does not guarantee uninterrupted availability or that specific features will remain unchanged.

9 Disclaimer of Warranties

To the maximum extent permitted by law, Etain disclaims all warranties, whether express, implied, or statutory, including warranties of accuracy, fitness for a particular purpose, non-infringement, and availability.

Your use of the Service as a User is at your own risk.

10 Limitation of Liability

To the maximum extent permitted by law:

• Etain shall not be liable for indirect, incidental, consequential, or special damages, including loss of data, profit, business, or goodwill;

• Etain’s total liability to you arising out of or in connection with the Service shall in all circumstances be limited to EUR 1,000.

Nothing in these User Terms limits liability that cannot be limited under applicable law.

11 Suspension and Termination

Etain may suspend or terminate your access to the Service:

• upon instruction from the Workspace Owner;

• if you breach these User Terms; or

• if continued access poses a security, legal, or compliance risk.

Upon termination, your right to use the Service ceases immediately.

12 Changes to These User Terms

Etain may update these User Terms from time to time. Updated terms will be made available through the Service.

By continuing to use the Service after updated User Terms become effective, you accept the revised terms.

13 Governing Law and Jurisdiction

These User Terms are governed by Norwegian law.

Any dispute arising out of or in connection with these User Terms shall be subject to the exclusive jurisdiction of the courts of Oslo, Norway.
